1. Agreement to Terms

These Terms of Service (the “Terms”) are a binding agreement between you and MetaXAI Inc., a corporation located at 30 N Gould St Ste N, Sheridan, WY 82801, USA (“MetaXAI,” “we,” “us,” or “our”). They govern your access to and use of the website at metaxai.org, the MetaXAI platform, our apps, and our API (together, the “Service”).

By creating an account, clicking “I agree,” or simply using the Service, you accept these Terms. If you do not agree with them, do not use the Service. If you are using the Service on behalf of a company or other organization, you confirm that you have authority to bind that organization, and “you” in these Terms refers to both you and the organization.

Our Privacy Policy explains how we handle personal data and forms part of this agreement. Please read it alongside these Terms.

2. Eligibility and Accounts

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement and consent of a parent or legal guardian. To purchase a paid plan, you must be old enough to form a binding contract in your jurisdiction.

When you register, you agree to:

• provide accurate, current registration information and keep it up to date;
• keep your password confidential and not share your login with anyone outside the seats included in your plan;
• use one account per person — each “seat” on a plan is for a single named user and may not be rotated among multiple people;
• notify us promptly at [email protected] if you suspect unauthorized access to your account.

You are responsible for all activity that occurs under your account, whether or not you authorized it, until you tell us about a compromise and we have had a reasonable opportunity to act.

3. The Service

3.1 What MetaXAI provides

MetaXAI is an all-in-one AI content platform. Depending on your plan, the Service includes our six core tools — AI Image Generator, Image Reimagine, AI Video Generator, Background Remover, Magic Cleanup, and Custom Model Training — along with supporting capabilities such as AI audio and voiceover, an AI chat assistant, team workspaces, and API access. We may add, change, or retire individual features as the platform evolves; if we retire a feature that is material to a paid plan, we will give reasonable advance notice.

3.2 Credits

Most generation features consume credits. How credits work:

• Each plan includes a monthly credit allowance (for example, 30 credits on Free, 1,000 on Standard, and 5,000 on Premium). Plan credits refresh at the start of each billing cycle and are consumed before any purchased credits.
• You can buy additional credit top-up packs at the prices shown on our pricing page. Purchased credits never expire as long as you remain on a paid plan.
• Credits have no cash value, are not currency, and cannot be transferred between accounts, sold, or exchanged for money except where the law requires otherwise.
• The number of credits a given generation consumes depends on the tool, output resolution, and duration, and is shown in the product before you run the job.

3.3 Fair use

The Service is built for genuine creative work, not for stress-testing our infrastructure. You agree not to run automated scripts that hammer the platform outside of documented API limits, share a single subscription across an entire organization beyond its seat count, or exploit bugs to obtain credits or outputs you have not paid for. We may apply reasonable rate limits and may suspend accounts that materially exceed fair use after we have attempted to contact you.

4. Subscriptions and Billing

4.1 Plans

We offer a Free plan and paid subscriptions, currently Standard ($20 per month or $239 per year) and Premium ($39.99 per month or $479.88 per year). The features, credit allowances, and seat counts for each plan are listed on the pricing page, which is incorporated into these Terms by reference.

4.2 Automatic renewal

Paid subscriptions renew automatically. A monthly plan renews each month and a yearly plan renews each year, in each case at the then-current price, until you cancel. Your payment method on file will be charged at the start of each renewal period. By subscribing, you authorize these recurring charges.

4.3 Price changes

We may change subscription prices. If we do, we will notify you by email at least 30 days before the new price applies to your account, and the change will only take effect at your next renewal. If you do not accept the new price, cancel before the renewal date and you will not be charged it.

4.4 Cancellation

You can cancel your subscription at any time from your account settings or by emailing [email protected]. Cancellation takes effect at the end of your current billing cycle: you keep full access to your plan until then, and you will not be charged again afterward. We do not provide prorated refunds for the unused remainder of a cycle except as described in Section 5.

4.5 Payment processing and taxes

Payments are handled by third-party payment processors; we do not store your full card number. You are responsible for keeping a valid payment method on file. Prices are exclusive of taxes unless stated otherwise; where we are required to collect sales tax, VAT, or similar charges, they will be added at checkout. If a renewal charge fails, we may retry it and may downgrade or suspend the account if payment is not completed within a reasonable time.

5. Free Trial and Refunds

5.1 Free trial

New customers receive a 30-day free trial of paid features when they first subscribe to a paid plan. If the trial requires a payment method, we will tell you before it starts, and your paid subscription will begin automatically when the trial ends unless you cancel before that date. Each customer is eligible for one trial; creating multiple accounts to obtain repeated trials is a breach of these Terms.

5.2 Refunds

Our refund policy is simple:

• Annual plans: your first purchase of a yearly subscription is covered by a 14-day money-back guarantee. Email us within 14 days of that first annual charge and we will refund it in full. The guarantee applies once per customer and does not apply to renewals.
• Monthly plans: monthly fees are non-refundable once a billing cycle has started. Cancel at any time to stop future charges.
• Credit packs: credit top-up packs are non-refundable once any of the purchased credits have been used. An entirely unused pack may be refunded at our discretion if you contact us within 14 days of purchase.

Nothing in this section limits any non-waivable refund rights you have under the consumer-protection laws of your place of residence.

6. Acceptable Use

You may not use the Service to create, upload, generate, or distribute content that is unlawful or harmful, or to interfere with the platform itself. Specifically, you agree not to:

• create or share content that is illegal where you live or where it is published, including content that sexualizes minors, incites violence, or facilitates fraud;
• infringe anyone’s intellectual-property rights — for example, uploading images, footage, audio, or text you do not have the rights to use, or deliberately generating knock-offs of protected works;
• generate deepfakes or other synthetic likenesses of real, identifiable people — including their face or voice — without that person’s documented consent, or use the Service to impersonate any person or organization;
• upload malware or malicious code, send spam, or use outputs in phishing, scams, or deceptive advertising;
• run abusive automation: scraping the Service, circumventing rate limits or credit accounting, probing or attacking our infrastructure, or reselling raw access to the platform without a written agreement with us;
• attempt to extract or reconstruct our underlying models or training data, or use the Service to build a directly competing generative-AI service;
• remove, obscure, or falsify content-provenance notices or watermarks that the Service applies, other than through export options we officially provide on paid plans.

We may remove content, withhold outputs, and suspend or terminate accounts that violate this section. Where we reasonably believe there is a risk of serious harm, we may act first and notify you afterward.

7. Your Content and License to Us

You own your content. Anything you upload to the Service — images, video, audio, text, prompts, and training assets (“Customer Content”) — remains yours. These Terms do not transfer any ownership of Customer Content to us.

So that we can actually run the Service, you grant MetaXAI a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display Customer Content, solely to the extent needed to operate, secure, and improve the Service for you and to comply with law. This license ends when you delete the content or close your account, except for residual copies in routine backups, which are purged on our normal backup schedule.

Custom models you train through Custom Model Training are private to your account and workspace. We do not use your Customer Content or your private models to train models shared with other customers unless you explicitly opt in, as described in our Privacy Policy.

You are solely responsible for your Customer Content. You represent that you own it or have all rights, consents, and permissions needed to upload it and to have it processed as described in these Terms, and that it does not violate Section 6. If you send us feedback or suggestions about the Service, we may use them without restriction or obligation to you.

8. AI Outputs

Subject to these Terms and to your compliance with them, MetaXAI assigns to you, to the extent permitted by applicable law, all of our right, title, and interest in the images, video, audio, and text the Service generates for you (“Outputs”). On paid plans this includes the commercial license described on the pricing page; on the Free plan, Outputs carry a watermark and are intended for personal and evaluation use.

Please understand the practical limits of generative AI:

• Outputs may not be unique. Because models respond to prompts statistically, other customers using similar prompts may receive similar or even identical Outputs. We cannot guarantee exclusivity, and the assignment above does not extend to whatever another customer independently generates.
• Outputs may be imperfect. Generated content can be inaccurate, biased, or unintentionally similar to existing works. You are responsible for reviewing every Output — and obtaining any necessary rights clearance or professional advice — before you publish it or rely on it, especially in advertising, journalism, or anything with legal or safety consequences.
• Registrability varies. Whether AI-generated content can be protected by copyright or trademark differs by jurisdiction and is outside our control; we make no promises about it.

9. Intellectual Property of the Service

The Service itself — including our software, models, interfaces, design system, documentation, and the MetaXAI name and logo — is owned by MetaXAI Inc. or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights in the Service. You may not copy, modify, decompile, reverse-engineer, or create derivative works of the Service, use our trademarks without written permission, or frame or mirror any part of the platform, except to the extent a law expressly permits it despite this restriction.

10. Termination

By you. You may stop using the Service and delete your account at any time from your account settings or by emailing us. Deleting your account cancels any active subscription effective at the end of the current billing cycle.

By us. We may suspend or terminate your access if you materially breach these Terms (including Section 6), if your account has unpaid fees after notice, if we are required to by law, or if we discontinue the Service. Where practical, we will notify you and give you a chance to fix the problem before termination; we are not required to do so for serious or repeated violations.

Effect. When your account closes, your right to use the Service ends and unused credits lapse (subject to the refund rules in Section 5). For 30 days after closure, you may email us to request an export of your Customer Content, after which we delete it in the ordinary course as described in the Privacy Policy. Sections that by their nature should survive — including 7 through 13 — survive termination.

11. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, MetaXAI disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Service will be uninterrupted, error-free, or secure, or that Outputs will be accurate, reliable, or fit for any particular use. Any uptime figures we publish are historical measurements, not a guarantee. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.

12. Limitation of Liability

To the fullest extent permitted by law: (a) MetaXAI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, even if we have been advised such damages are possible; and (b) our total aggregate liability for all claims arising out of or relating to the Service or these Terms is capped at the amount you paid MetaXAI for the Service in the 12 months before the event giving rise to the claim (or US $100 if you have paid nothing).

These limits apply regardless of the legal theory — contract, tort, statute, or otherwise — but do not exclude liability that cannot be limited under applicable law, such as liability for fraud or for death or personal injury caused by negligence where such exclusions are prohibited.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you and MetaXAI each consent to personal jurisdiction and venue there. If you are a consumer in a jurisdiction whose law gives you the right to sue in your local courts or under your local law, nothing in this section takes that right away. Before filing any claim, please contact us — most issues can be resolved quickly by email.

14. Changes to These Terms

We may revise these Terms from time to time — for example, when we launch new features or when the law changes. If a change is material, we will give you at least 14 days’ notice by email or by a prominent notice in the product before it takes effect; minor clarifications may take effect when posted. The “Last updated” date at the top of this page always shows the current version. If you continue using the Service after a change takes effect, you accept the revised Terms; if you do not agree, stop using the Service and cancel your subscription before the effective date.
